Contract law[]

An agreement is the agreed-upon bargain of the parties as reflected in their language or by implication from other circumstances, including course of performance, course of dealing, and usage in trade.

Uniform Commercial Code[]

U.C.C. Section 1-201(a) provides that the term agreement "as distinguished from 'contract,' means the bargain of the parties in fact, as found in their language or inferred from other circumstances, including course of performance, course of dealing, or usage of trade. . . ."

Under Section 2-106(1) of the Uniform Commercial Code (U.C.C.), "unless the context otherwise requires," the term "agreement" is "limited to those relating to the present or future sale of goods."
